Terms of Service

1. Service Description

Solerno B.V. ("we", "us") provides custom web application development under the "App in 48 Hours" service. We build web applications per an agreed-upon scope ("Scope Confirmation") and deploy them to your domain.

2. Scope of Work

The scope of each project is defined in the Scope Confirmation sent to you before payment. Only features explicitly listed in the Scope Confirmation are included. Any features, changes, or additions beyond the agreed scope are considered out of scope and subject to separate pricing.

3. Payment

• Deposit: €499, due before work begins
• Final payment: €498, due upon delivery and your approval
• Total: €997

All payments are processed via Stripe. Prices include applicable taxes unless otherwise stated. Invoices are provided for all payments.

4. Delivery & Timeline

We aim to deliver your app within 48 hours of receiving your deposit and starting the build. Delivery timelines are estimates and not guarantees. Complex projects or client delays (e.g., slow feedback) may extend the timeline.

5. Revisions

One (1) round of revisions is included, within the original agreed scope. Revision requests must be submitted within 48 hours of delivery. Bug fixes and polish within scope are always included. New features or changes beyond the original scope are quoted separately.

6. Refund Policy

• Before build starts: Full refund of deposit
• After build starts: Deposit is non-refundable
• After delivery: No refunds

If we are unable to deliver the agreed scope, you will receive a full refund.

7. Intellectual Property

• Custom code: Full ownership transfers to you upon receipt of final payment
• Reusable components: Solerno retains the right to reuse generic, non-client-specific components, libraries, and patterns across projects
• Third-party licenses: Open-source libraries used in your project retain their original licenses

Until final payment is received, Solerno retains all intellectual property rights.

8. Post-Launch Support

Two (2) weeks of bug fix support is included after delivery, during business hours (Mon–Fri, 09:00–18:00 CET). Support covers bugs and issues within the delivered scope only. Extended support is available at €97/month.

9. Liability

The application is provided "as-is" after handoff. Solerno's maximum liability is limited to the total amount paid for the service (€997). We are not liable for:

• Loss of revenue, data, or business opportunities
• Issues caused by client modifications after delivery
• Third-party service outages (hosting, payment providers, etc.)
• Security breaches resulting from client negligence

10. Restricted Industries

At the €997 price point, we do not build applications for regulated industries including but not limited to: healthcare (HIPAA/medical devices), financial services (banking/trading), legal services, gambling, or any industry requiring specific regulatory compliance. These require custom scoping and pricing.

11. Case Studies & Testimonials

By using our service, you grant Solerno permission to use your project as a case study (anonymized or with your name/brand, as agreed). You may opt out of this at any time by emailing admin@solerno.ai.

12. Client Responsibilities

You agree to:

• Provide accurate and complete project information
• Respond to communications within a reasonable timeframe
• Provide necessary assets (logos, branding, domain access) in a timely manner
• Review and test the delivered application within 48 hours of delivery

13. Termination

Either party may terminate the agreement at any time. Refund terms in Section 6 apply. Completed work up to the point of termination remains subject to the IP terms in Section 7.

14. Governing Law

These terms are governed by the laws of the Netherlands. Any disputes shall be resolved by the competent courts in the Netherlands.

15. Changes to These Terms

We may update these terms from time to time. Changes will be posted on this page with an updated date. Continued use of our services constitutes acceptance of updated terms.
